1. Parties and definitions
1.1 Operator: Hunters for Trade and Supply Chain (trade name: Hunters), a limited liability company established under Law 159 of 1981, commercial register no. 2578 (Gamasa Investment Commercial Registry Office, unified no. 11090-01000-02578), tax registration no. 648-530-116, head office: Salah Salem St., opposite the Spinning and Weaving Factory, Damietta 1st District, Damietta, Arab Republic of Egypt, owner and operator of the "CloudPastry" platform at cloudpastry.com and its apps.
1.2 Seller: the person or business that registered a seller account and accepted this agreement.
1.3 Buyer: a customer ordering the Seller's products through the platform.
1.4 Marketplace order: an order placed through the platform marketplace (website or buyer app).
1.5 Plan: the subscription plan (Free, Starter, Growth or Pro). Seat: the right to use one branch with one POS and one user.
1.6 Paid period: the monthly or yearly period whose subscription has been paid.
2. Role of the platform (agency model)
2.1 The Operator gives the Seller a storefront on the marketplace and software tools according to its Plan.
2.2 For marketplace orders the Operator acts as a commercial agent: it lists the Seller's products and, for electronic payments, collects the price on the Seller's behalf. The Seller is the principal seller of the goods towards the Buyer and is responsible for them; the Operator is not a party to the sale of goods.
2.3 The Operator's revenue from marketplace orders is the commission only, and from the software tools the subscription fees.
3. Registration and account
3.1 The Seller provides complete and accurate information, keeps it up to date and, on request, provides its commercial register, tax card and the health licences its activity requires.
3.2 The Seller shows its trade name and accurate details on its store, because the platform shows the Buyer the Seller's identity before the order.
3.3 The Seller keeps the login details of all its seats confidential and is responsible for all activity on its account.
3.4 The Operator may review products before publication and refuse or suspend any product that breaks the law or this agreement.
3.5 The Seller accepts this agreement electronically by ticking the acceptance box; the version and the date and time of acceptance are recorded on its account and are binding under E-Signature Law 15 of 2004.
4. Plans and fees (all prices include 14% VAT)
| Plan | Monthly | Yearly | Commission |
|---|---|---|---|
| Free | 0 | 0 | 10% |
| Starter | EGP 299 | EGP 2,990 | 5% |
| Growth | EGP 999 | EGP 9,990 | 3% |
| Pro | EGP 2,499 | EGP 24,990 | 2% |
4.1 The features of each plan are those published on the plans page at the time of subscription. Manufacturing (production orders and bills of materials) is not included in any plan at this time.
4.2 Pro includes 3 seats (Pro, Growth and Starter) in one subscription. Each extra branch needs an extra seat at the price of the plan chosen for it, with its own billing cycle and POS.
4.3 A Seller with several seats pays the lowest commission among its plans.
4.4 The Operator may change prices or commissions by notifying the Seller at least 30 days in advance; a change never applies to a period paid before the notice.
5. Subscription lifecycle
5.1 Upgrade: at any time; the Seller pays the price difference pro rata for the days left in the current cycle, the renewal date stays the same, and the new plan starts once that invoice is paid.
5.2 Downgrade: takes effect at the end of the current paid period, with no refund for the remaining period. A downgrade from Pro ends the two included seats on the same date.
5.3 Cancellation: takes effect at the end of the paid period; the Seller keeps its plan until the last paid day, then the account moves to Free and the store keeps running at 10% commission. There is no refund for the remaining period, no data is deleted because of the cancellation, and the cancellation can be withdrawn before the period ends.
5.4 Non-payment: if a renewal is not paid, a 7-day grace period applies after the period ends; the account is then frozen and the POS and operations stop until the renewal invoice is paid.
5.5 Idle Free accounts: a Free account with no activity for 90 days is frozen and stays frozen until the Seller asks to reactivate it.
6. Commission and taxes
6.1 Commission is calculated on the product value of paid marketplace orders (including VAT), never on delivery fees, and is deducted once the order is paid.
6.2 The Operator issues the Seller a tax invoice for the commission and the subscription fees, including the VAT due on them under VAT Law 67 of 2016, through the e-invoice system whenever it is required to.
6.3 The Seller alone is responsible for VAT and any other tax on the goods it sells, and for issuing invoices or e-receipts to Buyers whenever the law requires it. The platform's e-invoice settings are a tool and do not replace the Seller's obligations; submission to the Egyptian Tax Authority through the platform is not active until the Operator announces it.
7. Collection and payouts
7.1 Card payments go through the Commercial International Bank (CIB) gateway when available; the Operator collects the amount on the Seller's behalf and the gateway fees are deducted from the Seller's payout. Card details never pass through or stay with the Operator or the Seller.
7.2 Cash on delivery: the Seller collects the cash directly from the Buyer; the commission on these orders is deducted from the Seller's payouts, and if the payouts do not cover it the Seller is invoiced for the balance, payable within 7 days.
7.3 Payouts are transferred daily after review and approval, for amounts that have cleared 7 days after the order was received, with no minimum amount, to the bank account or wallet registered in the Seller's name; transfer fees are borne by the Operator and are never deducted from the Seller's payout. A statement shows each order, commission, fees and deductions.
7.4 The Operator may hold amounts covering open refunds, chargebacks or disputes until they are settled, and shows this in the statement.
8. Delivery and fulfilment
8.1 Delivery is made by the Seller (its own riders) in the zones and for the fees it sets, or by pickup from the Seller's branch. The store is shown to Buyers within about 15 km. The Operator does not provide a delivery fleet.
8.2 The Seller is responsible for food quality and safety, packaging, cold chain and delivery times, and for compliance with food-safety law, food labelling and allergen information.
9. Consumer rights and refunds
9.1 The Seller respects consumer rights under Consumer Protection Law 181 of 2018, its executive regulations and the published Return and Refund Policy, including exchange or return with a refund within 7 days for defective goods.
9.2 Automatic refund: for delivered orders paid by card, the platform refunds the Buyer up to EGP 300 automatically on complaint, once per Buyer every 30 days. The Seller bears this refund: it is deducted from the Seller's payout, and the commission charged on the refunded amount is reversed.
9.3 Any refund above EGP 300, or a repeat within 30 days, is approved by the Operator after reviewing the order and its evidence and notifying the Seller, and is treated the same way where the cause lies with the Seller.
10. Products and content
10.1 The Seller guarantees that product names, photos, prices, ingredients and allergens are accurate and that it has the right to use the photos and marks.
10.2 The Seller grants the Operator a non-exclusive, royalty-free licence to display the Seller's content and marks on the platform and in platform marketing for the term of this agreement.
10.3 Illegal, counterfeit or unfit products are prohibited.
11. Personal data
11.1 The Seller uses Buyer data only to fulfil and serve their orders, does not use it for marketing without their consent, keeps it confidential and secure under Personal Data Protection Law 151 of 2020, and informs the Operator immediately of any breach it becomes aware of.
11.2 The Operator processes Seller data under the published Privacy Policy.
12. Smart POS device (optional)
The Smart POS device is optional and is provided under a separate device agreement on a lease-to-own basis: EGP 3,900 down payment (30% of the device price), non-refundable, then EGP 600 per month for 15 months, with ownership passing to the Seller after the last instalment. This arrangement is not a loan or consumer financing, and the POS also runs on any Windows or Android device the Seller owns.
13. Suspension and termination
13.1 The Operator may suspend a product or an account for breach of this agreement or the law, or for repeated serious complaints, telling the Seller why and giving it a chance to respond, except in urgent cases affecting food safety or the law.
13.2 The Seller may end a paid subscription under clause 5.3 and ask to close the account once mutual balances are settled.
14. Liability
The Operator is not liable for the quality of the Seller's goods, the Seller's delivery delays or the Seller's breaches of the law, nor for indirect damage or loss of profit. In any case the Operator's liability to the Seller does not exceed the total commission and subscription fees the Seller paid in the three months before the event, except for fraud, gross negligence or liability that cannot be limited by law.
15. Changes to this agreement
The Operator notifies the Seller of any material change through the seller dashboard, WhatsApp or email at least 30 days before it takes effect. Continued use after that date means acceptance, and the Seller may end its subscription before that date without any further obligation.
16. Governing law, jurisdiction and language
This agreement is governed by the laws of the Arab Republic of Egypt and the courts of Cairo have jurisdiction over any dispute arising from it. The Arabic text governs in case of difference.
